Section 4: Limitation of Liability

"Receiving Party shall be liable for any and all damages arising from breach, including consequential damages"

For reference: SaaS market clauses commonly cap liability at 12 months of fees (varies by contract type and review date)

Demo figure — actual corpus comparison is computed at analysis time

Suggested redline:

"Total liability shall not exceed fees paid in the preceding 12 months; consequential damages excluded except for confidentiality breach."

Citation examples: Korean Civil Act §393 (special damages), Standard Contract Regulation Act §7, CUAD: "Cap On Liability" category

Cross-jurisdiction analysis — a differentiator

Same clause, different legal effect

USEnglish (US Law)

"best efforts"

Enforceable as a "good faith" standard with measurable bar

KRKorean (KR Law)

"선의의 노력"

Default-rule provision (not mandatory). May be interpreted leniently by a Korean court

Effect difference: KR party may have a weaker performance obligation

FAQ

Frequently asked questions

How is this different from ChatGPT?

General-purpose LLMs like ChatGPT/Claude tell you what your contract says. unjaena compares clauses against a public/standard-contract corpus and returns source-labelled references where available. This is a beta information workflow and the dataset is still expanding.

Is this legal advice?

No. This is information service. We highlight risks and provide suggestions; final decisions and binding legal questions should go to a licensed attorney in your jurisdiction.

What happens to my contract?

Processed for deletion after the default 24-hour retention period. At upload you can choose 24h / 3 days / 7 days. Not used for AI training under the current policy. You can also request immediate deletion from your dashboard.

Which contract types are supported?

NDA, service agreements, lease/rental, sales, employment, and licensing — across KR/US/JP/UK jurisdictions. When those contracts contain AI training-data use, model-change, output-rights, or personal-data role clauses, those signals are checked as well. Specialty contracts such as M&A, derivatives, and biotech IP remain expansion targets, not guaranteed coverage.

What if I disagree with the analysis?

The analysis is AI-generated information without legal effect. If you have questions, please contact [email protected] for additional review, or consult an attorney of your own choosing directly. (We do NOT recommend, match, or refer attorneys.)

Why $9.90 per review?

To stay accessible for freelancers and 1-person businesses. 500 free credits on signup (5 reviews), bulk discounts up to 29% off.

Information service, NOT legal advice. For binding decisions, consult a licensed attorney in your jurisdiction.
